These Terms of Service ("Terms") govern your access to and use of InvoiceAuto ("Service"), operated at https://invoiceauto.net. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

InvoiceAuto is an invoicing and billing management platform that allows users to create, manage, send, and automate invoices. The Service includes invoice templates, client management, product/service catalogs, database integrations for automated billing, and subscription-based access tiers.

2. Account Registration

To use the Service, you must create an account using your email address or a third-party authentication provider (such as Google). You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

3. Subscriptions and Payments

The Service offers free and paid subscription plans. For paid plans:

  • Payments are processed securely through our payment provider (Paystack)
  • Subscriptions renew automatically unless cancelled before the renewal date
  • You may upgrade, downgrade, or cancel your subscription at any time from your account settings
  • Refunds are handled on a case-by-case basis; contact support for refund requests
  • We reserve the right to change pricing with 30 days' notice

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Create or send fraudulent invoices
  • Send unsolicited communications or spam via invoice emails
  • Infringe on the intellectual property rights of others
  • Transmit malicious code, viruses, or interfere with the Service
  • Attempt to gain unauthorized access to other user accounts or our systems
  • Use automated means (bots, scrapers) to access the Service without our permission
  • Exceed reasonable usage limits or abuse the Service in a way that impacts other users

5. Your Data

You retain ownership of all content and data you create within the Service, including invoices, client records, and business information. By using the Service, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service to you.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

6. Database Integrations

If you connect an external database to the Service:

  • You are responsible for ensuring you have the right to access and use the data in that database
  • Connection credentials are encrypted and stored securely
  • We execute only the SQL queries you explicitly define and approve
  • We are not responsible for the accuracy or completeness of data returned by your external databases
  • You are responsible for ensuring generated invoices accurately reflect the underlying data

7. Intellectual Property

The Service and its original content, features, functionality, branding, and design are owned by InvoiceAuto and are protected by international copyright, trademark, and other intellectual property laws. Invoice data and content you create remain your property.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted, error-free access to the Service. We reserve the right to:

  • Perform scheduled maintenance with reasonable notice
  • Modify, update, or discontinue features of the Service
  • Suspend or discontinue the Service entirely with 30 days' notice

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind
  • InvoiceAuto shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim
  • We are not liable for any tax, legal, or financial consequences of invoices you create or send through the Service

10. Indemnification

You agree to indemnify and hold InvoiceAuto harmless from any claims, losses, or damages arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your account if you violate these Terms. You may delete your account at any time from your account settings. Upon termination:

  • Your right to use the Service ceases immediately
  • We will delete your data in accordance with our Privacy Policy
  • Provisions that by their nature should survive termination will remain in effect

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through good-faith negotiation, and if necessary, through binding arbitration or the courts of competent jurisdiction.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email or a notice within the Service at least 15 days before the changes take effect. Your continued use after changes constitutes acceptance of the updated Terms.
